You may access and use the Website for your personal, non-commercial use in connection with the Programs. The Website may not be accessed or used by you in connection with any other endeavors — commercial or otherwise — except as previously approved in writing by an authorized representative of NEN. Your access and use of the Website and participation in the Programs shall be in strict compliance with this Agreement, including, without limitation, NEN’s Privacy Policy, all other procedures and guidelines set forth on the Website and as part of the Programs, as well as applicable law.
You may not use the Website in any manner that could damage, disable, overburden or impair the Website or software, systems or equipment of NEN, any User, Field Partner or any other person. You may not use the Website in any manner that, in NEN’s sole discretion, creates a poor user experience for any other User, such as by posting content specifically designed to attract a negative reaction from an individual or group, or by “keyword stuffing” lending team pages (loading a page description with keywords in an attempt to manipulate the page’s ranking in search results). You may not transmit any chain letters, junk email or “spam” to any User, Partner, or any other person. NEN has the right to investigate and take appropriate legal action (including, without limitation, civil, criminal and injunctive redress) against any illegal and/or unauthorized uses of the Website or exploitations of the Programs, including collecting or harvesting (whether or not by automated scripts) the name, email address or any other personal or confidential information of any User, Partner, or any other person by electronic or other means for any reason, including, without limitation, the purpose of sending unsolicited email and unauthorized framing of or linking to the Website.

Although NEN assumes no obligation to monitor the conduct of any User on or off the Website or through the Programs, it is a violation of this Agreement to use the Website or Programs, or any information obtained from the Website or Programs, in order to: (i) harass, abuse, or harm another person (including, but not limited to, using profanity in lender messages or creating or joining lending teams in bad faith), (ii) prevent or exclude others, who are using the Website in compliance with this Agreement, from accessing, viewing or funding a particular Loan profile, or (iii) contact, advertise to, solicit, or sell to any User, Field Partner, Borrower or other person without their prior explicit consent. In order to protect such persons from such advertising, solicitation or harassment, NEN reserves the right to remove content from the Website that violates acceptable use in NEN’s sole discretion and restrict the number of emails or messages that a User may send to others through the Website in any 24-hour or other period to a number that NEN deems appropriate, in NEN’s sole and absolute discretion.

NEN reserves the right at all times (but will not have an obligation) to remove or refuse to post or distribute any Third Party Content, and to restrict, suspend or terminate the participation of any User or any lending team from the Website and the Program at any time, with or without prior notice. Without in any way limiting the foregoing, it is a violation of this Agreement to post, upload, submit, transmit or otherwise share any content, including, but not limited to, written materials or images, that in NEN’s opinion is obscene, harassing, contains profanity, or may be hateful or offensive on racial, ethnic, sexual or any other grounds; is harmful, vulgar or distasteful; contains graphic or gratuitous violence; or is defamatory, libelous, or invades another person’s privacy or proprietary rights.

In consideration of your use of the Website or participation in the Programs, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Website (“Registration Data”); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to NEN, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account. You agree not to impersonate any person or entity.

3. Professional Community Policies

NEN is an organisation that aims to put its members first when it comes to making important decisions. thousands of professional conversations and shared insights are being exchanged every day on NEN’s Services (defined in the User Agreement). To ensure these discussions help our members be more productive and successful, NEN has put in place these Professional Community Policies outlining the activities that are acceptable on the Services, and what is inappropriate and may be stopped by NEN. These rules are intended to provide guidance and restrictions governing your use of, and participation in, our Services.

3.1. Be Real.
Unlike some other online services, our members need to be real people, who provide their real names and accurate information about themselves. It is not okay to provide misleading information about yourself or your business, qualifications, work experience, affiliations, or achievements on our Services.

Impersonation

You may not impersonate others on the Services or mislead, confuse, or deceive others. Pretending to be someone else or to be representing a business in a way that is not truthful is not allowed. You are not allowed to use someone else’s name, image, or other personal information to deceive others into thinking you are someone other than yourself or associated with a business or organization when you are not. You also may not use or attempt to use another individual’s NEN account or create a member profile for anyone other than yourself (a real person). (The fact that in the rare cases NEN may allow clearly fictional profiles with express prior permission does not waive our right to prohibit your false profile or association with a business or organization.)

Misrepresentation

You may not misrepresent your identity or information or mislead, confuse, or deceive others. Do not provide inaccurate information. When choosing a profile picture, you may not use an image that is not your likeness or a head-shot photo for your profile. Also, you may not manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services.

 3.2. Be Professional.

We acknowledge the value of discussions around professional activities and ask our members to behave professionally by not being dishonest or inappropriate. When creating content on the Services, we ask that you follow our Publishing Platform Guidelines and keep your content professional, relevant, and on-topic. Do not share false information or use the Services to shock or intimidate others. And it is not okay to share graphic, obscene, or pornographic content on the Services.

Honesty and Authenticity

Be honest, forthright, and respectful. Do not invite people you do not know to join our network, and do not share comments, opinions, or other content in a manner that is intended to be misleading or inaccurate or to conceal a conflict of interest or unlawful motive. You may not use the Services to share false content or information, including news stories, that presents untrue or unverified facts or events as though they are true or likely true. When you share content or endorse someone or something in exchange for personal benefit (including personal or family relationships, monetary payment, free products or services, or other value), you must include a clear and conspicuous notice of the personal benefit you receive.

Relevance

Your messages, posts, comments, and other content must be on-topic and relevant. The Services provide a professional community for sharing professional content and information, so do not post or otherwise provide content that is irrelevant or inappropriate.

Adult Content

It’s not acceptable to post content containing nudity, sexually explicit material, or pornography. Some adult content may be allowed in an educational, medical, scientific, or professional artistic context so long as it is not gratuitously graphic. The Services are never to be used for sexual exploitation of children. You also may not post content that threatens sexual violence or sexual assault. You may not use our invitation features to send messages to people who don’t know you or who are unlikely to recognize you as a known contact. Please make the effort to create original, professional, relevant, and interesting content in order to gain popularity, instead of trying ways to artificially increase the number of views, re-shares, likes, or comments.

3.3. Respect Others’ Rights and Follow the Law.
Before sharing or using someone else’s copyrighted works, trademarks, private information, or trade secrets, please make sure you have the legal right to do so. 4.1. Introduction

When you use our Services you agree to all of these terms. Your use of our Services is also subject to our Cookie Policy and our Privacy Policy, which covers how we collect, use, share, and store your personal information.

4.1.1. Contract

You agree that by clicking “Join Now”, “Join NEN”, “Sign Up” or similar, registering, accessing or using our services (described below), you are agreeing to enter into a legally binding contract with NEN (even if you are using our Services on behalf of a company). If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Join Now” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

Services
This Contract applies to nen.org.ng, NEN-branded apps and other NEN-related sites, apps, communications and other services that state that they are offered under this Contract (“Services”), including the offsite collection of data for those Services, such as our ads and the “Apply with NEN” and “Share with NEN” plugins. Registered users of our Services are “Members” and unregistered users are “Visitors”. This Contract applies to both Members and Visitors.

As a Visitor or Member of our Services, the collection, use and sharing of your personal data is subject to this Privacy Policy (which includes our Cookie Policy and other documents referenced in this Privacy Policy) and updates.

4.1.2. Change
We may modify this Contract, our Privacy Policy and our Cookies Policies from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.

4.2. Obligations

4.2.1. Service Eligibility
To use the Services, you agree that: (1) you must be the “Minimum Age” (described below) or older; (2) you will only have one NEN, which must be in your real name; and (3) you are not already restricted by NEN from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 18.

“Minimum Age” means 18 years old. However, if law requires that you must be older in order for NEN to lawfully provide the Services to you without parental consent (including using of your personal data) then the Minimum Age is such older age.

4.2.2. Your Account
Members are account holders. You agree to:
(1) try to choose a strong and secure password;
(2) keep your password secure and confidential;
(3) not transfer any part of your account (e.g., connections) and
(4) follow the law and our list of Dos and Don’ts and Professional Community Policies.

You are responsible for anything that happens through your account unless you close it or report misuse.
As between you and others (including your employer), your account belongs to you. However, if the Services were purchased by another party for you to use (e.g. Recruiter seat bought by your employer), the party paying for such Service has the right to control access to and get reports on your use of such paid Service; however, they do not have rights to your personal account.

4.2.3. Payment
If you subscribe for our paid Membership or Services (“Premium Services”), you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Membership or Services. Failure to pay these fees will result in the termination of your paid Membership or Services. Also, you agree that:

Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).
We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other Services you may buy.
If you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period. To avoid future charges, cancel before the renewal date. Learn how to cancel or suspend your Premium Services.
Some of your purchases of Services are subject to NEN’s refund policy.
We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase.
You can get a copy of your invoice through your NEN account settings under “Purchase History”.

4.2.4. Notices and Messages
You’re okay with us providing notices and messages to you through our websites, apps, and contact information. If your contact information is out of date, you may miss out on important notices.
You agree that we will provide notices and messages to you in the following ways:
(1) within the Service, or
(2) sent to the contact information you provided us (e.g., email, mobile number, physical address).
You agree to keep your contact information up to date.
Please review your settings to control and limit messages you receive from us.

4.2.5. Sharing
Our Services allow messaging and sharing of information in many ways, such as your profile, updates, links to news articles, job postings, InMails and blogs. Information and content that you share or post may be seen by other Members, Visitors or others (including off of the Services). Where we have made settings available, we will honor the choices you make about who can see content or information (e.g., message content to your addressees, sharing content only to NEN connections, restricting your profile visibility from search engines, or opting not to notify others of your NEN profile update). For job searching activities, we default to not notifying your connections network or the public. So if you apply for a job through our Service or opt to signal that you are interested in a job, our default is to share it only with the job poster.
We are not obligated to publish any information or content on our Service and can remove it in our sole discretion, with or without notice.

5. Privacy Policy

5.1. No sale of personal information
NEN will not rent or sell your personal information to third parties.

5.2. Information you provide through the account creation and update process.
When you create an account on the Website, we collect basic information about you through the registration process – your name, email address, and a means to authenticate your account (for example, a password). You may also choose to provide additional information through the account creation and update process, such as the person who referred you to NEN, your location (for example, city, state/province and country), a picture and your address and many more. If you choose to access the Website through your Facebook account, you are creating an account with NEN on the Website and you grant NEN permission to access your basic Facebook information (including gender and birthday) and, with your express consent, to use other information about you from Facebook in accordance with the Facebook terms of use, our Terms of Use and this Privacy Policy. Services like Facebook Connect give you the option to post information about your activities on this Website to your profile page to share with others within your network. You can review and update the account information you provide to NEN through the Website by logging into your account on the Website. We collect any additional information you choose to provide us when you update your account on the Website.

5.3. Comments and messages.
If you use interactive features on the Website to write a comment (for example, on a NEN blog, message board or Community Portal), NEN will collect your name and your comment, and optionally, your location and NEN may publicly display this information. If you use interactive features on the Website to write a message through NEN’s lender messaging feature, NEN will collect your information.

5.4. Information from third parties.
NEN collects your information from third parties to facilitate activities and transactions for the operation of the Website and Program, improve User experiences on the Website and in the Program and further NEN’s mission. Examples of information we receive from other sources include information from another User about whether you referred that User to NEN, information from service providers about your use of the Website. If you choose to use our referral service to tell a friend about our site, we will ask you for your friend’s name and email address. We will automatically send your friend a one-time email inviting him or her to visit the site. NEN stores this information for the sole purpose of sending this one-time email, offering the ability for you to easily remind your friend and tracking the success of our referral program. Your friend may contact us at contact@nen.org.ng to request that we remove this information from our database. You can import contacts from your Gmail, Yahoo! or other email account address book to invite them to become members of our site. We or our service providers collect the username and password for the email account from which you wish to import your contacts and we will only use it for that purpose. To understand the ways in which NEN may disclose your information to our affiliates, service providers, agents and representatives, please see Section 10 (Disclosure to affiliates, service providers, agents and representatives) below of this Privacy Policy.

5. 5. Information from cookies and web beacons.
Cookies are small text files created by a website that store information on your computer, such as your preferences when visiting that website. Similar to many websites, if you have enabled cookies in your browser, NEN, independently and through enabled third party tools and programs, collects certain technical information using cookies, such as the path of users to the Website, pages visited, originating IP address, browser type, browser language and the date and time of the user’s visit. This information helps NEN track trends and improves areas of the Website and Program, and are common analytics used by most websites. If you have disabled cookies, the Website may not work as it is intended because NEN uses cookies when you sign in to keep track of your personal session. Web beacons are tiny graphics with a unique identifier that are similar in function to cookies but, instead of being stored on your computer, are embedded invisibly on web pages and are about the size of the period at the end of this sentence. Web beacons are used to track the online movements of internet users. NEN uses them to better understand User interaction and engagement with the Website and Program (including without limitation, in electronic Communications), such as by learning whether certain users have accessed the Website via links from other websites. NEN can use this information to tailor its audience for advertisements promoting NEN. You may set your browser preferences to opt out of the collection and use of this tracking information for ad targeting purposes. One way to set your preferences for what sites can or can’t share tracking information with NEN (or with other websites) is by using a service such as the one available at www.aboutads.info/choices. NEN also uses cookies for remarketing, by placing a cookie in your browser to signal that you’ve visited the Website. This gives us the option to show you ads for NEN when you visit other websites that host advertisements. NEN supports the Do Not Track preference available on most internet browsers. When you have enabled the Do Not Track setting on your browser, NEN’s remarketing functionality will be disabled. The use of cookies by third parties on the Website is for the purpose of making the Website easier to use and to enable certain features of the Website and is not covered by this Privacy Policy. We do not have control over these cookies.

5.6. Electronic communications.
From time to time you will receive disclosures, notices, documents and information based on your account information, status or activity (collectively, “Communications”) from NEN(for example, confirmations of training or Loans you have made, confirmation receipts for donations you have made, statements or other information with respect to the amount of credit available in your NEN account, confirmation of email address or password changes, or customer service inquiries regarding the status of or activity in your account). By creating an account with NEN on the Website, you agree that all Communications from NEN relating to your use of the Website and participation in the Program may be provided or made available to you electronically by e-mail or at the Website. To access the Communications electronically, you will need to use a computer with Internet Explorer 8.0 or above,
Chrome 4.0 or above, Safari 4.0 or above, Opera 10.0 or above or Firefox internet browsers and with hardware capable of running these internet browsers.
